End User License Agreement

This End User License Agreement (the "Agreement" or "EULA") is a legally binding contract between you, either an individual or a single legal entity ("you" or "Licensee"), and [Registered company name] ("Rust Shield," "we," "us," or "our"), governing your installation and use of the Rust Shield antivirus software application, including its executables, libraries, malware definition files, configuration files, documentation, and any updates or upgrades provided to you (collectively, the "Software").

By downloading, installing, copying, activating, or otherwise using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms. If you do not agree to these terms, do not download, install, or use the Software, and promptly remove any copies in your possession.

1. Definitions

"Software" means the Rust Shield application, a fast, lightweight antivirus for Windows and macOS built around a Rust core, together with its malware definition files, auto-update components, associated media, printed and electronic documentation, and any modules, features, or components we make available to you.
"Definitions" means the malware signature, heuristic, and related detection data files that the Software downloads and applies in order to identify and respond to threats.
"Subscription" means a paid plan (Plus or Pro) that unlocks additional features of the Software for a recurring fee, as described on rustshieldsecurity.com.
"Device" means a single physical computer, whether desktop or laptop, on which the Software is installed.
"License Key" or "Account" means the credentials, token, or entitlement that identifies your license and the tier associated with it.

2. Grant of License

Subject to your continuous compliance with this Agreement and, where applicable, payment of the fees for your chosen tier, Rust Shield grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

install and use the Software in object-code form solely for your personal or internal business purposes; and
make a single copy of the Software for backup or archival purposes, provided that the copy retains all copyright and proprietary notices.

All rights not expressly granted to you in this Agreement are reserved by Rust Shield and its licensors.

2.1 Tiers and Device Limits

The scope of your license depends on the tier you have selected. The following summary is provided for convenience; the features actually available to you are controlled by your active entitlement.

You may not use a single license across more devices than your tier permits, nor pool, share, or resell licenses. We may use technical measures to enforce device limits and tier entitlements.

3. License Restrictions

The Software is licensed, not sold. Except to the extent that the following restrictions are prohibited by applicable law, you agree that you will NOT, and will not permit or enable any third party to:

reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or structure of the Software;
copy, reproduce, distribute, publish, sell, rent, lease, lend, sublicense, assign, or otherwise transfer the Software or your license to any third party;
modify, translate, adapt, or create derivative works based on the Software, or merge the Software into another program;
remove, alter, or obscure any proprietary notices, labels, trademarks, or marks on or within the Software;
circumvent, disable, or interfere with any licensing, activation, entitlement, tier-gating, update, or security mechanism of the Software, or attempt to use features of a tier you have not paid for;
tamper with, intercept, spoof, or otherwise manipulate the communications between the Software and our license, heartbeat, or definition servers, or the encrypted definition bundles the Software downloads;
use the Software to develop, test, or benchmark a competing product, or to build a malware-detection dataset for a third party;
use the Software in any manner that violates applicable law, infringes the rights of others, or to scan, access, or interfere with systems, networks, or data that you do not own or are not authorized to protect;
use the Software to create, transmit, store, or distribute malware, or to develop techniques intended to evade detection by security products; or
operate the Software through a service bureau, timesharing arrangement, or otherwise make its functionality available to third parties as a hosted or managed service.

4. Ownership and Intellectual Property

The Software is protected by copyright, trade secret, and other intellectual property laws and treaties. Rust Shield and its licensors own and retain all right, title, and interest in and to the Software, including all copies, modifications, and derivative works thereof, and all patents, copyrights, trademarks, trade secrets, and other intellectual property rights embodied therein. This Agreement transfers to you a limited license only and does not convey any ownership interest in the Software.

The names "Rust Shield" and Rust Shield, along with associated logos and product names, are trademarks of [Registered company name]. Nothing in this Agreement grants you any right to use them without our prior written consent.

4.1 Feedback

If you choose to provide us with suggestions, ideas, bug reports, or other feedback about the Software, you grant Rust Shield a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into our products and services without any obligation or compensation to you.

5. Automatic Definition and Software Updates

Effective protection depends on current threat data. You acknowledge and agree that the Software includes automatic update functionality and that, by default, it will:

periodically connect to our servers to download and apply updated Definitions so that the Software can recognize newly discovered threats; and
download and install updates, patches, and new versions of the Software itself, which may add, modify, or remove features.

Updates and Definitions are provided to you under the terms of this Agreement unless accompanied by a separate license, in which case that license governs. We may cease providing Definitions or updates for older versions of the Software, and continued protection may require you to run a supported version. Disabling updates, or blocking the Software from reaching our update and definition servers, may materially reduce the Software's effectiveness, and you assume the risk of doing so.

6. Subscriptions, Fees, and Billing

Access to paid tiers requires an active Subscription. Fees, billing cycles, and payment terms are presented at the point of purchase on rustshieldsecurity.com. Unless stated otherwise, Subscriptions renew automatically at the then-current rate until cancelled. If a Subscription lapses, is cancelled, or a payment fails, the Software may revert to the Free tier or disable paid features. Your rights with respect to cancellations, refunds, and renewals are further described in our Terms of Service and Refund Policy.

7. Term and Termination

This Agreement takes effect when you first install or use the Software and continues until terminated as described below.

Termination by you. You may terminate this Agreement at any time by ceasing all use of the Software and permanently removing all copies from your Devices.
Termination by us. This Agreement, and the license granted under it, will terminate automatically and without notice if you breach any of its terms. We may also suspend or terminate your license if your Subscription ends, if we reasonably believe you are using the Software unlawfully or fraudulently, or if we discontinue the Software.

Upon termination for any reason, all rights granted to you under this Agreement cease, and you must stop using and delete all copies of the Software. Sections concerning ownership, restrictions, disclaimers, limitation of liability, export compliance, and governing law survive termination. Termination does not entitle you to a refund except as required by applicable law or expressly provided in our Refund Policy.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Rust Shield AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

Rust Shield does not warrant that the Software will detect, block, quarantine, or remove all malware, viruses, or other threats; that it will be uninterrupted, timely, secure, or error-free; that defects will be corrected; or that the Software is free of harmful components. No security product can guarantee complete protection, and you remain responsible for maintaining appropriate backups and security practices. Any material downloaded or otherwise obtained through the use of the Software is accessed at your own discretion and risk. No advice or information, whether oral or written, obtained from Rust Shield creates any warranty not expressly stated in this Agreement.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you; in that case, such warranties are limited to the minimum scope and duration permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Rust Shield, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF Rust Shield HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES ARISING FROM THE SOFTWARE'S FAILURE TO DETECT OR REMOVE A THREAT, FALSE POSITIVES, OR THE LOSS OR CORRUPTION OF FILES DURING SCANNING, QUARANTINE, OR REMEDIATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF Rust Shield FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO Rust Shield FOR THE SOFTWARE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $25.00. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Rust Shield and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your misuse of the Software, your violation of this Agreement, or your violation of any law or the rights of a third party.

11. Export Compliance

The Software may be subject to export control and economic sanctions laws and regulations of the jurisdiction in which it is distributed and of other jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to a comprehensive embargo, and that you are not on any government list of prohibited or restricted parties. You agree not to export, re-export, or transfer the Software, directly or indirectly, in violation of applicable export control or sanctions laws, and not to use the Software for any prohibited end use, including any use related to weapons of mass destruction. 12. Third-Party and Open-Source Components

The Software may include third-party or open-source components that are provided under their own license terms. To the extent those terms grant you rights or impose obligations that differ from this Agreement, those terms govern for the applicable component. 13. Privacy

The Software transmits certain information to our servers to provide protection, validate your license, deliver Definitions, and process heartbeat and telemetry data. Our collection and use of information is described in our Privacy Policy, which is incorporated into this Agreement by reference. By using the Software you consent to that processing.

14. Governing Law and Dispute Resolution

This Agreement, and any dispute arising out of or relating to it or the Software, is governed by and construed in accordance with the laws of [Governing jurisdiction], without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and Rust Shield agree to submit to the exclusive jurisdiction of the courts located in [Governing jurisdiction] for the resolution of any dispute not subject to an alternative dispute-resolution process, subject to any mandatory consumer-protection rights available to you in your place of residence.

15. General Provisions

Entire agreement. This Agreement, together with any documents it incorporates by reference, constitutes the entire agreement between you and Rust Shield regarding the Software and supersedes all prior or contemporaneous understandings.
Severability. If any provision of this Agreement is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer this Agreement or any rights under it without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
Changes to this Agreement. We may update this Agreement from time to time. Material changes will be communicated through the Software or on rustshieldsecurity.com, and your continued use of the Software after the changes take effect constitutes acceptance.
